1. Acceptance of Terms
Please read these Terms of Service (“Terms”) carefully before using Appointly (the “Service”) operated by Appointly (“we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
By accessing or using Appointly at https://appointly.cloud, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be legally bound by them. If you are using the Service on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.
2. Description of Service
Appointly is a scheduling and practice-management platform designed for dental practices and similar healthcare businesses. The Service includes online appointment booking, calendar management, automated reminders, team and resource management, analytics, and related features.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Accounts and Registration
You must create an account to access most features of the Service. You agree to:
- Provide accurate, current, and complete information during registration.
- Keep your password secure and not share it with anyone.
- Notify us immediately of any unauthorised use of your account.
- Be responsible for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably suspect are engaged in fraudulent activity.
4. Subscriptions and Payment
Appointly offers a free tier and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) via our payment processor (Stripe).
- Free trial: New accounts may be eligible for a free trial of the Pro plan. No payment method is required to start a trial. At the end of the trial period, the account automatically reverts to the free tier unless you subscribe.
- Billing: By providing a payment method, you authorise us to charge the applicable subscription fee on a recurring basis until you cancel.
- Cancellation: You may cancel your subscription at any time from the billing settings. Cancellation takes effect at the end of the current billing period; no partial refunds are provided.
- Price changes: We will provide at least 30 days' notice before increasing subscription prices.
- Taxes: Subscription prices are exclusive of applicable taxes, which will be added where required by law.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Upload or transmit viruses, malware, or other harmful code.
- Attempt to gain unauthorised access to our systems or another user's account.
- Scrape, crawl, or extract data from the Service without our written permission.
- Send spam or unsolicited communications through the Service.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Use the Service in a way that could damage, disable, or impair our infrastructure.
Violation of this section may result in immediate suspension or termination of your account without refund.
6. Patient and Client Data
As a healthcare-adjacent platform, you may collect and store information about your patients or clients through the Service. You are solely responsible for:
- Obtaining any necessary consent from your patients or clients to process their data.
- Complying with all applicable data-protection laws (including but not limited to GDPR, HIPAA where applicable, and local equivalents).
- Ensuring that data you input into the Service is accurate and lawfully obtained.
Appointly acts as a data processor on your behalf for data you input into the Service. Our handling of personal data is described in our Privacy Policy.
7. Intellectual Property
The Service and all its content, features, and functionality (including but not limited to text, graphics, logos, software, and code) are owned by Appointly and protected by intellectual-property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.
You retain ownership of all data and content you upload to the Service (“Your Content”). By uploading content, you grant us a limited licence to process and display it solely to provide the Service to you.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect your information.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
Appointly is a scheduling tool and is not a medical device or clinical software. It does not provide medical advice and should not be used as a substitute for professional medical or dental judgment.
10. Limitation of Liability
To the fullest extent permitted by law, Appointly and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of:
- Your use of or inability to use the Service.
- Any unauthorised access to or use of our servers or personal information stored therein.
- Any interruption or cessation of transmission to or from the Service.
Our total cumulative liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to us in the 12 months preceding the claim, or (b) USD $100.
11. Indemnification
You agree to indemnify and hold harmless Appointly and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
We may suspend or terminate your access to the Service at our discretion, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, the Service, or third parties.
You may terminate your account at any time by contacting us at support@appointly.cloud. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (including but not limited to Sections 7, 9, 10, 11, and 14) shall survive.
13. Changes to These Terms
We reserve the right to update these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you by email or an in-app notice. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
14. Governing Law and Disputes
These Terms are governed by and construed in accordance with applicable law. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts in the jurisdiction where Appointly is registered.
